ELEVATOR AND ESCALATOR MANUFACTURERS ASSOCIATION BYLAWS

SECTION 1: NAME, HEADQUARTERS, PURPOSE OF THE ASSOCIATION:

Article 1-Name of the Association: Elevator and Escalator Manufac- turers Association. Its short name is “AYSAD”.
Article 2- The administrative center of the association is Fikirtepe Mah. Rüzgâr Sok. No:29/1 Evim Kadıköy K:13 D:294 Kadıköy/İstanbul. If necessary, this address may be changed by the decision of the board of directors. The Board of Directors shall carry out the proceedings of this business within the framework of the Associations Law No. 5253.
Article 3- Purpose of the Association:The Association was established to bring together the pioneering and innovative entrepreneurs of the Elevator and Escalator Industry on the basis of solidarity, to represent them on national and international platforms, and to provide its members with training, information, organization and strategy support for global competition.

AYSAD works to ensure that safer and higher quality elevators, escalators and related components comply with the laws, regulations and standards are offered to the market. Within this framework; It cooperates with official institutions, provides them with information support and participates in the works.

It works to announce the developments in legislation and technology to consumers and other non-governmental organizations.
The activities to be carried out in line with this purpose are as follows:

  1. Following national and international research, local and foreign publications on this subject and informing its members,
  2. Organizing meetings such as conferences and panels on the application possibilities and benefits of new technical and administrative developments related to the sector and ensuring that professional information is transferred to its members by inviting domestic or foreign experts on the subject.
  3. Gathering information on elevator and escalator technology and providing opportunities to use materials in accordance with the legislation,
  4. Taking supportive and warning initiatives before the relevant authorities in the preparation of national and international standards, instructions, regulations and specifications, consulting with experts within this framework, inviting the relevant parties to meetings;
  5. Conducting studies to facilitate participation in fairs and similar initiatives, seeking joint participation opportunities, collecting innovations of foreign fairs, meetings and similar organizations on behalf of the Association and announcing them to its members,
  6. Warning the public on the supply, use, maintenance and protection of safety conditions of elevators and escalators to make publications.
  7. To represent the rights and interests of its members before national or international judicial bodies of all degrees and titles, independent administrative authorities, other competent authorities and international institutions and organizations, to file lawsuits to protect the rights and interests of its members, to follow up on these lawsuits, to make applications, to prepare and submit reports, to ensure coordination and relations with all relevant institutions and organizations.

 

SECTION 2: BECOMING A MEMBER OF THE ASSOCIATION, RESIGNING FROM MEMBERSHIP AND BEING EXPULSIONED:

Article 4-Becoming a member of the Association and conditions of membership:
Companies operating in the sector and employees working in these companies can become members of the Association. The candidacies of real or legal persons applying for full membership in the Association shall enter into force upon the recommendation of the Association Board of Directors and approval by the General Assembly. However, those who want to become members must have the following qualifications:
I- For real persons:

  • Have reached the age of 18 and have the right to exercise their civil rights
  • Have adopted the subject purpose specified in Article 3 of the association’s articles of association
  • Working in a company that provides products and/or services in the elevator sector and has the necessary documents obtained from the authorized authorities indicating that they can do these with sufficient quality, or Individuals who individually engage in freelance consultancy, consulting engineering, training activities in the elevator sector and/or are academicians on issues related to elevators,
  • Having notified the association’s Board of Directors in writing of their desire to become a member, and having been recommended by two full members, one of whom must have been a member of the association for at least five years without interruption.
  • The offer for honorary membership is made by the Board of Directors. Honorary membership must be accepted by the General Assembly. The person proposed for Honorary Membership by the Board of Directors must have at least one of the following qualifications:
    • Be a founding member,
    • Have worked in our association for at least 5 terms in various positions,
    • Have made material and moral contributions to our association or our sector. Honorary members do not pay dues to the association and do not vote in the General Assembly.

Every real and legal person who has the legal capacity and who accepts the association’s purpose and principles and agrees to work in this direction and who meets the conditions stipulated by the Legislation has the right to become a member of this association. However, foreign real persons In order to become a member,
he/she must also have the right to settle in Turkey. This condition is not required for honorary membership.
A membership application made in writing to the association chairmanship will be decided by the association board of directors within a maximum of thirty days as acceptance or rejection of the request and the result will be notified to the applicant in writing. The member whose application is accepted will be recorded in the book to be kept for this purpose.
The main members of the association are those who are accepted as members by the board of directors upon their application.
Those who have provided significant financial and moral support to the association may be accepted as honorary members by the decision of the board of directors.
II- For legal entities:

  • To be established in accordance with the Turkish Commercial Code,
  • To be a member of the Chamber of Industry and/or Commerce of the city where it is established,
  • To be a company that provides products and/or services in the elevator sector and has the necessary documents obtained from the authorized authorities stating that it can do these with sufficient quality.
  • To have adopted the subject purpose specified in Article 3 of the association’s articles of association.
  • To have been recommended by two full members, one of whom must have been a member of the association for at least five years, in writing, upon notification to the association’s Board of Directors.
  • Legal entities (Companies) that are members of the association must notify the association of the name of the person who will represent them at least one month before the Ordinary General Assembly.

Real or legal member candidates must sign AYSAD’s membership commitment.
Article 5-Removal from membership:
Each member may resign from membership at any time. The resigning member must have fulfilled his/her obligations in the association charter.

Article 6-Removal from Membership:The Board of Directors has the authority to cancel the membership after the proposal of the Board of Directors and the Disciplinary Board’s evaluation of termination of membership is notified to the Board of Directors. The Board of Directors’ decision to cancel the membership is put into effect by voting at the General Assembly. Removal from membership is based on one of the following reasons.

  1. To act contrary to the purposes of the Association,
  2. To disobey this constitution and the decisions of the General Assembly,
  3. To obstruct the activities and initiatives of the Association to achieve and develop its purposes,
  4. To act in a manner that damages the honor and reputation of the Association or one of its members,
  5. To lose the company affiliation or company feature that has the characteristics specified in subparagraphs c) of Articles 4-I and 4-II for real persons,
  6. The situation of the member who does not fulfill his/her financial obligations at the end of each year and does not respond to notifications with a valid excuse and payment plan is reported to the Disciplinary Board by the Board of Directors. The Disciplinary Board notifies the Board of Directors of its evaluation of termination of membership. The decision of the Board of Directors to cancel the membership is put to a vote at the General Assembly and enters into force

 

SECTION 3: BECOMING A MEMBER OF ASSOCIATIONS, OPENING A BRANCH, JOINING A FEDERATION:

Article 7- Becoming a member of associations and opening a branch:
In accordance with Article 5 of the Associations Law No. 5253 titled International activities, it initiates the necessary initiatives to become a member of national and international associations or organizations operating in fields related to the Elevator and Escalator sector and submits them to the approval of the members at the first General Assembly.

Article 8- Becoming a member of a Federation:
In cases where the Board of Directors deems it necessary and beneficial, it initiates the necessary initiatives to establish a federation or to become a member of an established federation together with other national associations operating in fields related to the Elevator and Escalator sector and submits them to the approval of the members at the first General Assembly.

SECTION-4: ASSOCIATION BODIES:

Article 9-

  • General Assembly
  • Board of Directors
  • Board of Auditors
  • Disciplinary Board

Association Bodies are elected for a two-year term. Elections are held for Association Bodies in even years.
Article 10- General Assembly:
The General Assembly is composed of full members registered with the association. Each member has only one vote in the General Assembly.
Article 11- Duties and authorities of the General Assembly:
The General Assembly is the highest decision-making body of the association and has the authorities written in the legislation and the Articles of Association. The issues specified in the agenda are discussed and decided in the General Assembly meeting.
Main Duties and Powers of the General Assembly:

  • To discuss and decide on the association’s previous period final accounts, balance sheets, Board of Directors and Auditors reports and to discharge these bodies as necessary.
  • To discuss and decide on the association’s budget.
  • To elect or dismiss the association’s bodies
  • To amend the articles of association
  • To decide on the dissolution or liquidation of the association
  • To purchase the necessary real estate for the association or to sell the existing real estate
